Terms of Use

These Terms explain the current early-access signup and evaluation licence, local project privacy, provider responsibilities, ownership, security, and responsible use.

Pre-launch legal draft

This draft reflects the current early-access phase. The company's registered address and formation state, governing law, dispute forum, final privacy disclosures, installer limits, and any future checkout terms must be confirmed before public release and reviewed by qualified counsel.

Agreement and eligibility

These Terms of Use form an agreement between you and Ingenus AI Software LLC for Nexus Co-lab. By accepting an invitation, installing, accessing, or using Nexus Co-lab, you agree to these Terms. Joining the early-access list is governed by the signup and privacy provisions below.

If you use Nexus Co-lab for an organisation, you confirm that you have authority to bind that organisation. You must be at least 18 years old, or the minimum legal age required to enter a contract where you live.

Early access and product scope

Nexus Co-lab is a local desktop application that helps coordinate developer workflows involving supported AI providers. It is a software tool, not a law firm, financial adviser, medical provider, security auditor, or guarantee that generated work is accurate, lawful, secure, or suitable for release.

Early-access features may be incomplete, contain errors, change, be suspended, or be removed before general release. An invitation may be limited by time, device, operating system, feature, or number of authorised users.

Early-access signup and communications

Joining the early-access list requires an email address so Ingenus AI Software LLC can record your request, send confirmation or invitation messages, and communicate essential information about availability and onboarding. Joining the early-access list does not purchase a licence or guarantee access.

How signup and support information is handled is described in the Privacy page. Product marketing that legally requires separate consent must use a separate opt-in and must provide a way to withdraw that consent.

Early-access evaluation licence

If Ingenus AI Software LLC invites you to use Nexus Co-lab, it grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use the invited early-access version for evaluation within the access period and any device or user limits stated in the invitation.

You may not resell, rent, sublicense, share, circumvent access or licence controls, or reverse engineer the software except where applicable law expressly allows that activity.

Anthropic and OpenAI services

Nexus Co-lab can work with services supplied independently by Anthropic and OpenAI. You must obtain any required API access or subscription directly from the provider's official website. Ingenus AI Software LLC is not the seller, reseller, or operator of those provider services.

Your use of a provider is governed by that provider's current terms, privacy practices, usage policies, prices, availability, and data-retention settings. Review the official Anthropic Commercial Terms and OpenAI Services Agreement that apply to business and developer use. Provider charges are separate from Nexus Co-lab.

Your products and intellectual property

Your source code, applications, games, documents, research, designs, and other work created with the software are referred to as Customer Products. As between you and Ingenus AI Software LLC, you retain your rights in those Customer Products. Ingenus AI Software LLC does not claim ownership of your Customer Products.

You remain responsible for confirming that you have the rights needed for your inputs and that your use of generated material does not infringe another person's rights. Your Nexus Co-lab licence does not transfer ownership of Nexus Co-lab, its branding, or third-party models and services.

What stays local and private

Ingenus AI Software LLC does not receive your project files, prompts, generated output, or provider credentials through the desktop application. We do not use the desktop application to inspect what you are building or claim access to private Customer Products.

If you deliberately send project material, logs, or screenshots to Support, we receive only what you choose to send for that support request. Information transmitted directly to Anthropic or OpenAI is handled by the selected provider under its own terms and settings, not by Ingenus AI Software LLC.

Limited service data and GDPR

Local project privacy does not mean that no personal data is processed. To operate early-access requests, invitations, licensing, authentication, fraud prevention, legal compliance, and support, Ingenus AI Software LLC may process your email address, licence status, authentication records, and payment metadata if paid licensing later opens, plus information you choose to provide to Support. Hosting and security services may also process ordinary request data such as IP address, user agent, and timestamps.

Where the GDPR applies, the legal basis depends on the activity and may include steps requested before a contract, performance of a contract, compliance with legal obligations, legitimate interests in securing and operating the service, and consent where specifically requested. Personal data should be limited to what is necessary and retained only for the relevant service, legal, security, or dispute period.

Depending on the circumstances, your GDPR rights may include the right of access, rectification, erasure, restriction, portability, and objection, plus the right to complain to your supervisory authority. Requests may be sent to contact@nexus-co-lab.com. Identity verification may be required before a request is completed.

Account and credential security

Your email address may identify your invitation or licence account. If email-code login becomes available, each sign-in may require a time-limited code sent to that address. You are responsible for maintaining access to the email account and for preventing unauthorised use.

Ingenus AI Software LLC will never ask you to send provider API keys, provider passwords, payment-card security codes, recovery codes, or email authentication codes through support, chat, or ordinary email. Enter an authentication code only in the official Nexus Co-lab sign-in interface.

Responsibility for your products and output

You control the purpose, design, testing, distribution, and operation of each Customer Product. You are responsible for reviewing AI output, testing software, securing systems, obtaining licences and permissions, making required disclosures, and complying with applicable law and third-party terms.

Ingenus AI Software LLC is not the publisher, manufacturer, operator, employer, or professional adviser for a Customer Product and does not assume responsibility for claims, losses, decisions, or obligations created by your product or your use of generated output.

Prohibited use

You may not use Nexus Co-lab to violate law or another person's rights; gain unauthorised access; distribute malware; facilitate fraud, deception, harassment, or spam; bypass safety or access controls; or create material that you are legally prohibited from creating or distributing.

You must not share early-access credentials outside their authorised scope, interfere with the software or licensing service, or misrepresent that Ingenus AI Software LLC, Anthropic, or OpenAI endorses, certifies, or operates your Customer Product.

Feedback

If you voluntarily send product feedback, suggestions, or error reports, you allow Ingenus AI Software LLC to use that feedback to evaluate and improve Nexus Co-lab without payment to you. This permission does not transfer ownership of your Customer Products or permit us to publish confidential project material you include in a support request.

Updates, compatibility, and availability

We may provide updates that add, modify, or remove features, improve security, or maintain compatibility. You are responsible for installing required updates and maintaining a supported operating system and compatible third-party provider account.

We do not control Anthropic, OpenAI, Stripe, internet providers, operating-system vendors, or other third parties. Their downtime, policy changes, pricing, account restrictions, or discontinued services may affect Nexus Co-lab.

Suspension and termination

Early-access availability is discretionary. Access may be suspended or terminated for material breach, unlawful use, security risk, abuse of access or licence controls, expiry of an evaluation period, discontinuation of the preview, or where continued service would violate law or third-party obligations. When reasonable, we will provide notice and an opportunity to correct a curable breach.

When access ends, the software licence ends. Termination does not transfer ownership of your Customer Products to Ingenus AI Software LLC.

Warranties and limitation of liability

To the maximum extent permitted by law, Nexus Co-lab and early-access features are provided as available and without warranties that cannot lawfully be disclaimed. We do not promise uninterrupted operation, error-free output, compatibility with every environment, or that generated material will be accurate, secure, lawful, or fit for a particular purpose.

To the maximum extent permitted by law, Ingenus AI Software LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive losses, lost profits, lost revenue, lost data, loss of goodwill, or the cost of substitute services arising from use of Nexus Co-lab or a Customer Product. Any aggregate monetary cap must be confirmed in the final Terms after the company's governing jurisdiction is established.

These exclusions do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that applicable law does not permit the parties to exclude or limit.

Business-customer indemnity

If you use Nexus Co-lab for a business, you will defend and indemnify Ingenus AI Software LLC and its personnel against third-party claims arising from your Customer Product, your inputs, your unlawful or infringing use, or your material breach of these Terms, except to the extent a claim was caused by Ingenus AI Software LLC.

This section applies only to the extent permitted by applicable law and does not reduce non-waivable consumer rights.

Statutory consumer rights

Your statutory consumer rights remain in force. Nothing in these Terms removes rights that cannot legally be waived. Any future paid checkout must separately disclose the purchase terms and request any consent needed before immediate digital performance begins.

Future paid licensing

No paid Nexus Co-lab licence or installer is currently offered for purchase through this website. If paid licensing opens later, the checkout or enterprise order form must show the price, currency, taxes, billing period, renewal status, device or seat limits, cancellation method, refund terms, and any additional commercial conditions before purchase. Future enterprise licensing questions may be sent to enterprise@nexus-co-lab.com.

Paid checkout is planned to use Stripe. If introduced, payment details will be submitted to Stripe under Stripe's terms and privacy practices, while Ingenus AI Software LLC may receive the transaction and billing metadata needed to issue a licence, manage the purchase, meet legal obligations, prevent fraud, and resolve disputes. The Terms and checkout disclosures in effect at the time of purchase will govern that paid transaction.

Changes, applicable law, and contact

We may update these Terms for legal, security, product, or commercial reasons. Material changes will be posted with a new revision date and, when required, notified through the early-access or licence email address. Changes do not retroactively remove rights that have already accrued.
